WeMerch Terms & Conditions

Effective Date: 1 July 2025

These Terms & Conditions (“Terms”) govern the supply of products and services by WeMerch to our clients. By accepting a quote, placing an order, paying a deposit, issuing a purchase order or otherwise engaging our services, you agree to these Terms.

1. Services

WeMerch designs, sources and supplies custom-branded merchandise, uniforms, workwear, promotional products and related services.

Projects may include product sourcing, design, artwork preparation, sampling, decoration, production, printing, packaging and delivery, as agreed with the client.

2. Quotes & Orders

• Quotes are valid for 28 days unless otherwise stated.
• An order is considered confirmed once the required deposit, purchase order or other agreed confirmation has been received.
• Pricing is based on the quantities, specifications, artwork, decoration methods and other requirements stated in the quote.
• Prices may change if quantities, artwork, product specifications, decoration requirements or other project details change after quotation or approval.
• Any additional work or changes requested after approval may incur additional charges.
• Stock availability: Products quoted are subject to availability and are not reserved until an order is confirmed. Stock may sell out or become unavailable between quotation and order confirmation, particularly for apparel, uniforms and promotional products. If a quoted product becomes unavailable, WeMerch will endeavour to offer a suitable alternative, which may be subject to different pricing, specifications or lead times.

3. Payment Terms

• Unless otherwise agreed in writing, a 70% deposit is required before production begins.
• The remaining balance is payable before delivery or dispatch.
• Payment may be made by bank transfer, credit card or another agreed payment method.
• Credit card or payment processing fees may apply where advised.
• Late or outstanding payments may delay production, dispatch or delivery.

4. Artwork & Approval

• Final artwork, layouts, product specifications and proofs must be approved in writing before production begins.
• It is the client’s responsibility to carefully review spelling, colours, sizing, placement, quantities and all other details before approval.
• WeMerch is not responsible for errors that appear in the final product where those errors were present in an approved proof.
• Minor variations in colour, placement, sizing or appearance may occur due to manufacturing, printing and decoration processes.

5. Production & Delivery

• Production and delivery timelines are estimates only unless specifically guaranteed in writing.
• Production timelines begin once all required approvals, artwork and deposits have been received.
• WeMerch is not responsible for delays caused by suppliers, manufacturers, couriers, freight providers, customs, natural events or other circumstances outside our reasonable control.
• Delivery and freight charges will be quoted or advised where applicable.
• Clients are responsible for providing accurate delivery details.

6. Returns, Faults & Cancellations

• As most products supplied by WeMerch are custom-made or custom-branded, change-of-mind returns are generally not accepted.
• If products are faulty, damaged or produced incorrectly due to an error by WeMerch or our supplier, please contact us as soon as reasonably possible.
• We may request photographs, samples or other information so the issue can be assessed.
• Where appropriate, we may offer a replacement, repair, re-production, credit or refund.
• Cancellations after an order has been confirmed may incur charges for artwork, setup, materials, samples, production work or other costs already incurred.
• Once production has commenced, cancellation may not be possible.

7. Intellectual Property

• Clients are responsible for ensuring they have the legal right to use all logos, trademarks, designs, artwork, images and other materials supplied to WeMerch.
• WeMerch is not responsible for copyright, trademark or intellectual property infringements arising from client-supplied materials.
• Unless otherwise agreed in writing, WeMerch retains ownership of original concepts, design work and artwork created by us until all related invoices have been paid in full.
• WeMerch may photograph or display completed work on our website, portfolio, social media or marketing materials unless the client requests otherwise in writing.

8. Product Variations

Due to the nature of manufacturing and custom decoration, minor variations may occur between samples, proofs and final production.

These may include variations in:

• Colour
• Material
• Size
• Print or embroidery placement
• Decoration finish
• Product dimensions
• Packaging

Reasonable industry-standard variations will not be considered defects.

9. Limitation of Liability

To the extent permitted by law, WeMerch is not liable for indirect, incidental or consequential loss, including loss of profits, lost business opportunities, missed events or reputational loss arising from delays, product availability, supplier issues or other matters outside our reasonable control.

Nothing in these Terms excludes or limits any rights or guarantees that cannot legally be excluded under the Australian Consumer Law.

10. Governing Law

These Terms are governed by the laws of Queensland, Australia.

Any dispute arising in connection with these Terms will be subject to the jurisdiction of the courts of Queensland and any applicable Commonwealth courts.
